Welcome

These Terms and Conditions ("Terms") govern your access to and use of AviationTaxLogs LLC's platform, website, applications, APIs, integrations, and related services (collectively, the "Service"). By subscribing to or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Overview of the Service

AviationTaxLogs is a digital record-management and flight-log organization tool designed specifically for business aircraft owners, operators, flight departments, and aviation management professionals. The platform helps you log, categorize, store, and report flight activity so you can maintain a clear separation of business and personal flights for recordkeeping and tax documentation purposes.

Important — Not Tax or Legal Advice:

AviationTaxLogs is not a Certified Public Accounting (CPA) firm, tax advisor, or legal service. We do not provide tax, legal, or accounting advice, interpretations, or recommendations. The Service is strictly a record-keeping and organizational tool to assist you in maintaining flight logs and related documentation. You should consult a qualified CPA, tax advisor, or attorney for professional advice regarding tax treatment, deductions, or compliance.

2. Eligibility

  • You must be at least 18 years old and have legal authority to enter into these Terms on behalf of yourself or your organization.
  • The Service must be used only for lawful business purposes related to aircraft operations, recordkeeping, and administration.
  • When registering you represent that the information provided is accurate and that you will keep such information up to date.

3. Account Registration & Security

Certain features require account creation. You agree to provide accurate and complete information, maintain confidentiality of your credentials, accept responsibility for activities under your account, and promptly notify AviationTaxLogs of unauthorized access. We may suspend or terminate accounts that are fraudulent, abusive, or violate these Terms.

Account Security: You are responsible for all activity occurring under your account. You must notify us immediately of any suspected loss, theft, or unauthorized use of your account. We may suspend access while investigating suspicious activity.

4. Subscription Plans, Billing & Renewal

We offer subscription plans designed for single-aircraft owners, multi-aircraft operators, flight departments, and enterprise customers. Features, usage limits, and support levels vary by plan.

  • Billing and Renewal: Subscriptions are billed in advance and automatically renew at the end of each billing period unless canceled in accordance with Section 7 (Cancellation & Termination).
  • Payment Authorization: By subscribing, you authorize AviationTaxLogs (and our payment processor) to charge your selected payment method on a recurring basis.
  • Rates & Changes: We may change fees or plan features; material changes will be communicated prior to the next renewal when practicable.
  • Taxes: Fees are exclusive of applicable taxes; you are responsible for any sales, VAT, use, or similar taxes where required.

5. Free Trials and Promotions

From time to time we may offer trial periods or promotional offers. Trial lengths and eligibility will be disclosed at sign-up. Unless canceled prior to the end of a trial, accounts may convert automatically to paid subscriptions under the plan selected at sign-up.

6. Refund Policy

Cancel Anytime — No Proration. You may cancel billing for your subscription at any time via your account settings. Cancellation will stop future automatic renewals and take effect at the end of the current billing period.

No Prorated Refunds or Credits: All plans are billed for the full billing period selected (monthly, annual, etc.). We do not provide prorated refunds or credits for partial billing periods, early cancellations, or decreased usage during a billing period. Unless otherwise explicitly stated in a separate written agreement, no refunds will be issued for time unused within an already-paid billing cycle.

Free Trials & Promotional Offers: If you received a free trial or promotion that converts to a paid subscription, standard refund and cancellation provisions apply unless the promotion's terms specify otherwise at enrollment.

7. Cancellation & Termination

  • User Cancellation: Cancel any time through your account. Cancellation is effective at the end of the current paid period; access continues until then but no future billing will occur.
  • Company Termination: AviationTaxLogs may suspend or terminate accounts for breach of these Terms, repeated payment failures, illegal activity, misuse of the Service, or where required by law. Upon termination, access ends immediately; data may be retained or deleted according to our Privacy Policy and data retention practices.
  • Emergency Suspension: We may immediately suspend or block access when required to protect the Service, our users, or comply with law (for example, in response to a security incident, court order, or regulatory requirement). We will provide notice when practicable.
  • Data Backups: Users are responsible for maintaining backups of their own data. See the Privacy Policy for retention windows and export capabilities.

8. Acceptable Use

You must not use the Service to:

  • Violate any law, regulation, or third-party right;
  • Transmit malware, spam, or abusive content;
  • Attempt to gain unauthorized access to the Service, other accounts, or systems;
  • Reverse-engineer, decompile or otherwise attempt to extract source code; or
  • Use automated means (bots, scrapers) to access or collect data from the Service without our written permission.

We reserve the right to investigate and take appropriate action against any breach of acceptable use, including suspension or termination of accounts and reporting to law enforcement.

9. User Data, Security & Privacy

Data Ownership: You retain ownership of data you upload ("User Data"). By using the Service you grant AviationTaxLogs a limited, non-exclusive license to store, process, transmit, backup, and display your User Data solely to provide and improve the Service and as otherwise set forth in the Privacy Policy.

Security: We implement commercially reasonable administrative, technical and physical safeguards designed to protect User Data. However, no system is 100% secure. We disclaim any liability for unauthorized access except as expressly set forth in these Terms or required by law.

Data Export & Retention: You may export your data using available tools. After account termination we may retain backups or aggregated/anonymized data in accordance with our Privacy Policy and applicable law.

10. Third-Party Services & Integrations

The Service may integrate with third-party services (payment processors, accounting tools, mapping services, etc.). Those integrations are provided "as is" and we are not responsible for third-party terms, privacy practices, or availability. You agree to comply with any third-party terms when you connect or use integrations.

11. Intellectual Property

All software, text, graphics, designs, and other materials provided by AviationTaxLogs are owned or licensed by AviationTaxLogs and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for internal business recordkeeping only. You may not copy, modify, distribute, reverse-engineer, or use the Service to build a competing product.

12. Export Controls

You agree to comply with all applicable export and import laws and regulations. You will not (and will not permit any user) to upload, download, export, re-export or transfer the Service or any associated data, software, or technology in violation of applicable export laws. By using the Service you represent you are not located in, under control of, or a national or resident of, any country subject to U.S. sanctions or embargoes, and you are not otherwise prohibited from receiving the Service under applicable law.

13. Disclaimers & No Professional Relationship

The Service and all related materials are provided "as is" and "as available". AviationTaxLogs specifically disclaims all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of results.

Not a Professional Advisor: AviationTaxLogs is not a tax advisor, CPA, attorney, or other professional service. Use of the Service does not create a professional relationship and is not a substitute for advice from an appropriate professional. You are solely responsible for determining whether the Service meets your requirements and for the accuracy and completeness of records you create and retain.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AVIATIONTAXLOGS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

AGGREGATE CAP: EXCEPT FOR WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100), OR (B) THE AMOUNTS YOU PAID TO AVIATIONTAXLOGS FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow limitations of liability or exclusions of damages; to the extent such limitations are unenforceable in your jurisdiction, our liability will be limited to the minimum liability permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold AviationTaxLogs, its officers, directors, employees, agents and affiliates harmless from and against any losses, liabilities, damages, claims, costs and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) User Data you submit, transmit, or display through the Service.

16. Audit, Compliance & Recordkeeping

We may perform audits and monitoring to ensure compliance with these Terms and to protect the Service. You agree to cooperate with reasonable audits related to misuse, security incidents, fraud, or compliance concerns. You are responsible for maintaining records and backups necessary for your tax, legal, and operational needs.

17. Confidentiality

Each party agrees to treat confidential information of the other party with reasonable care and not disclose such information except as necessary to perform its obligations or as required by law. Confidential information does not include information that is or becomes publicly known through no fault of the receiving party or that was already known to the receiving party without restriction.

18. Force Majeure

Neither party shall be liable for delay or failure to perform due to causes beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government action, strikes, labor disputes, interruption of internet service, or other events beyond the party's reasonable control. The affected party shall notify the other party and take commercially reasonable steps to resume performance.

19. Injunctive Relief

Notwithstanding anything to the contrary, either party may seek injunctive or other equitable relief to prevent or remedy any actual or threatened breach of confidentiality, infringement of intellectual property, or unauthorized use of the Service or the other party's property, without posting a bond or other security, in addition to any other remedies available at law or in equity.

20. Dispute Resolution; Arbitration; Class Action Waiver

Informal Resolution: If a dispute arises, please contact us at support@aviationtaxlogs.com so we can try to resolve it informally.

Arbitration: Except for claims for injunctive or other equitable relief (which may be sought in court as set forth below), any dispute, claim or controversy arising out of or relating to these Terms or the Service shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted by a single arbitrator in Barnstable County, Massachusetts, unless the parties agree otherwise. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction.

Class Action Waiver: You and AviationTaxLogs agree that any arbitration or proceeding will be limited to the dispute between AviationTaxLogs and you individually. YOU AND AVIATIONTAXLOGS WAIVE THE RIGHT TO A TRIAL BY JURY AND TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION OR REPRESENTATIVE PROCEEDING.

Opt-Out: If you do not wish to be bound by the arbitration agreement above, you may opt out by notifying AviationTaxLogs in writing within thirty (30) days of your first acceptance of these Terms. To opt out, send a written notice including your name, account email, and statement that you wish to opt out of arbitration to support@aviationtaxlogs.com. If you opt out, all other parts of these Terms remain enforceable.

We may provide notices to you by email (to the address associated with your account) or by posting notices on the Service. You may give notice to us at:

22. Severability, Waiver & Assignment

If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect. Failure to enforce any right is not a waiver. You may not assign or transfer these Terms or your rights without our prior written consent; AviationTaxLogs may assign these Terms in whole or in part without notice.

23. Survival

Sections that by their nature should survive termination will survive termination or expiration of these Terms, including but not limited to: Intellectual Property, Payment Obligations (for amounts owed prior to termination), Confidentiality, Indemnification, Limitation of Liability, Dispute Resolution, and any other provision that by its terms contemplates continued performance after termination.

24. DMCA & Copyright

If you believe content available via the Service infringes a copyright you own, please notify our designated agent at support@aviationtaxlogs.com with sufficient information to permit us to locate the material and a statement, under penalty of perjury, that you are the copyright owner or authorized to act on behalf of the owner. We will respond in accordance with applicable law.

25. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or posted on the Service. Continued use after such changes means you accept the updated Terms. For material changes that adversely affect your rights, we will provide notice and, where required by law, obtain consent.

27. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service-level or enterprise agreements, constitute the entire agreement between you and AviationTaxLogs regarding the Service and supersede prior agreements.
